Terms of Service

These Terms of Service ("Terms") govern your access to and use of the IjyaLabs advisory platform and related services (the "Service") provided by IjyaLabs, a sole proprietorship of Arun R Kaushik (GSTIN 27BFMPK2514K2Z9), operating from 2nd Floor, 6A, Yashoda Nagar, Hingna Road, Nagpur, Maharashtra, India ("IjyaLabs", "we", "us"). IjyaLabs is not a company, LLP, or other registered corporate entity — it is a sole proprietorship, and its owner bears these obligations personally, without any separate corporate liability shield or business/professional indemnity insurance.

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Description of the Service

IjyaLabs is a self-service advisory readiness platform that helps organisations assess and prepare for compliance certifications including ISO 27001, SOC 2, and SOC 1. The Service provides:

• Guided readiness assessments and gap analysis tools.
• Evidence upload, extraction, and control-mapping workflows.
• AI-assisted analysis of uploaded evidence documents.
• Report generation and auditor-handoff preparation tools.

The Service is a readiness-preparation tool only — it is not a certification, audit, or assurance service, and IjyaLabs does not issue, deliver, or guarantee any certification, audit opinion, or regulatory clearance. We help you prepare for certification and statutory examination; we do not perform, substitute for, or guarantee the outcome of that certification or examination. Only a licensed independent CPA firm, accredited certification body, or the relevant statutory authority (as applicable — for example, an RBI/SEBI examiner, a CERT-In empanelled auditor, or an ISO/SOC certification body) can perform the actual audit and issue the actual certification or examination result. Conclusions generated by the platform depend entirely on the information you submit and are not a substitute for professional judgement or a statutory audit.

AI-generated output is not first-hand, authoritative, or professional advice and must not be consumed or acted on as such. It is a drafting and gap-identification aid only. You acknowledge that the Service is a support tool, that any output (including AI analysis, scores, and reports) is informational and may be incomplete or incorrect, and that you remain solely responsible for independently validating the accuracy, completeness, legality, and suitability of any submission, conclusion, or action you take based on the Service. You must obtain your own legal, audit, accounting, and compliance advice — and, where a statutory or regulatory outcome is required, engage a qualified statutory auditor or accredited certification body directly — before relying on any output. IjyaLabs is not responsible for, and will not compensate, any compliance, regulatory, financial, or statutory loss arising from reliance on the Service in place of such professional or statutory engagement.

2. Accounts

You must create an account to use the platform. You may sign in with Google, LinkedIn, or an email one-time code. You are responsible for maintaining the confidentiality of your session and for all activity that occurs under your account. Notify us immediately at legal@ijyalabs.in if you believe your account has been compromised.

You must provide accurate information when creating your organisation profile. One account may belong to one organisation. If you need multiple organisations, contact us.

3. Acceptable use

You agree not to:

• Use the Service to upload malicious files, content that infringes third-party intellectual property, or material that is unlawful in your jurisdiction.
• Attempt to circumvent access controls, reverse-engineer the platform, or gain access to another organisation's data.
• Use automated means (bots, scrapers) to access the Service beyond what is expressly permitted by our API documentation.
• Misrepresent your organisation, evidence, or control status in a manner intended to deceive a CPA firm or certification body.
• Resell or sublicence access to the Service without our written consent.

4. Uploaded content

All Content on the Service is submitted by you, voluntarily, for the sole purpose of your own readiness assessment. IjyaLabs does not proactively collect or generate Content on your behalf, and does not access, review, or process Content except to operate the specific tool you have chosen to use.

You retain ownership of all documents, files, and data you upload ("Content"). By uploading Content, you grant IjyaLabs a limited, non-exclusive licence to process it solely to provide the Service to you (for example, to extract text, run analysis, and display results in your workspace).

We do not use your Content to train machine-learning models, share it with other organisations, or use it for any purpose other than operating your engagement. See our Privacy Policy for details on how evidence files are stored, processed, and deleted.

You are responsible for ensuring you have the right to upload Content and that it does not contain material that would violate applicable law or these Terms. Uploaded files that are detected as malicious are quarantined and not processed.

5. Plans, payments, and entitlements

The Service is offered under free and paid plans. Paid plans are billed via Razorpay. Except for the specific platform-access refund right below, fees are non-refundable once a billing period has begun, unless required by applicable consumer protection law or stated in a separate order form.

A platform-access refund is available only if, during the first 30 days after purchase, there has been no authenticated use of the account beyond initial sign-in and setup — no assessment created, no evidence or other content uploaded, no report generated, and no AI analysis or control mapping triggered. This refund right is described fully in, and governed by, our Company Policy; the refund determination is based on our system logs and records.

Plan limits (storage, file count, active engagements) are enforced at the time of creation. Downgrading a plan does not remove existing data but restricts new creation that would exceed the lower limit.

Prices are stated in INR or USD and are inclusive of applicable taxes unless stated otherwise. We may change prices with reasonable notice.

6. Data deletion and account termination

You may delete individual files, permanently purge an engagement, or request deletion of your entire account at any time. Account deletion removes your profile and all associated data subject to the retention obligations described in our Privacy Policy(billing records, security logs).

We may suspend or terminate your account if you materially breach these Terms and do not cure the breach within 7 days of notice, or immediately if the breach involves security, unlawful conduct, or non-payment.

7. Intellectual property

The platform software, UI, framework content (control libraries, assessment questions), and reports generated by IjyaLabs tooling are owned by IjyaLabs or its licensors. Nothing in these Terms transfers ownership of IjyaLabs IP to you.

Framework content (for example, ISO 27001 control descriptions, AICPA Trust Services Criteria) is owned by the respective standards bodies and may have distribution restrictions. The platform displays such content to help you assess readiness; it does not grant you a licence to redistribute it. Any third-party framework, standard, or criteria content referenced on the Service is shown only to support your readiness assessment and remains subject to the rights and restrictions of its respective owner.

8. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. IjyaLabs does not warrant that:

• The Service will be uninterrupted, error-free, or completely secure.
• Readiness assessments, AI analysis, or generated reports will be accurate, complete, or accepted by any certification body or CPA firm.
• Use of the Service will result in a certification, clean audit opinion, or any specific compliance outcome.

9. Service availability and force majeure

Unless expressly stated in a signed order form or written service-level addendum, IjyaLabs does not guarantee any minimum uptime, response time, or support turnaround, and may perform maintenance, updates, or emergency changes without prior notice where reasonably necessary.

IjyaLabs is not responsible for delays, failures, data loss, or service unavailability caused by events beyond our reasonable control, including internet outages, cloud or infrastructure provider failures, third-party API or AI-model outages, payment processor failures, labour disputes, acts of God, government action, or other force majeure events. Any third-party service referenced or used by the Service may change, degrade, be suspended, or be discontinued by its provider without liability to you.

10. Limitation of liability

To the fullest extent permitted by applicable law, IjyaLabs and its directors, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of or inability to use the Service, including loss of profits, revenue, data, goodwill, business opportunity, or reputational harm, except to the extent such limitation is prohibited by law.

IjyaLabs's total aggregate liability to you for all claims arising from or related to the Service, across the entire duration of your use of the Service, shall not exceed ₹5,000 (INR five thousand) in total — not per claim, per incident, or per year, but a single lifetime aggregate cap across all claims combined. This reflects that IjyaLabs is a sole proprietorship with no professional indemnity, errors-and-omissions, or general business liability insurance, and no separate corporate entity or affiliated person to whom liability can be transferred or allocated.

IjyaLabs is not responsible for, and bears no liability for, any compliance, regulatory, statutory, or financial loss or penalty you or any third party incurs as a result of relying on the Service — including but not limited to a failed statutory audit, a rejected or revoked certification, a regulatory finding or penalty, or any other adverse compliance outcome — whether arising from an error, omission, inaccuracy, incompleteness, negligence, or any other defect in the Service, its AI analysis, or its output. The Service helps you prepare for compliance; it does not guarantee, warrant, or certify any compliance outcome, and you assume all risk of relying on it in place of a qualified statutory auditor, certification body, or regulator.

11. Indemnification

You will defend, indemnify, and hold harmless IjyaLabs from any third-party claim, loss, or expense (including reasonable legal fees) arising from your Content, your lack of rights to upload or use that Content, your violation of these Terms, your misuse of the Service, or your violation of applicable law or a third party's rights, including intellectual property rights.

To the fullest extent permitted by applicable law, you release and discharge IjyaLabs from any claim, demand, or cause of action based on error, omission, inaccuracy, incompleteness, or negligence in the Service or its output, except to the extent such release is prohibited by law or inconsistent with the limitation of liability in Section 10.

12. Changes to the Service or Terms

We may update these Terms with reasonable notice. Continued use of the Service after the effective date of updated Terms constitutes acceptance. For material changes, we will notify active platform users by email at least 14 days before the change takes effect.

We may add, modify, or discontinue features of the Service at any time. We will provide reasonable advance notice of deprecation that materially affects a paid feature.

13. Governing law and disputes

These Terms are governed by the laws of India. Disputes shall first be attempted to be resolved by good-faith negotiation. If not resolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of Nagpur, Maharashtra, India.

14. Miscellaneous

• Entire agreement. These Terms, together with the Privacy Policy and the Company Policy, and any applicable order form or written engagement agreement, constitute the entire agreement between you and IjyaLabs regarding the Service. If there is a conflict between these documents, the order of precedence is: (1) an order form or written engagement agreement, (2) these Terms, (3) the Company Policy, (4) the Privacy Policy — except that the platform-access refund right described in the Company Policy is incorporated into these Terms by reference and survives any general non-refund statement above.
• Severability. If any provision is found unenforceable, the remaining provisions continue in full force.
• Waiver. Failure to enforce a right does not constitute waiver of that right.
• Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
